1. Acceptance of Terms
Welcome to Bullship (“we,” “our,” or “us”). By accessing or using our website, software, and services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services.
2. Description of Services
Bullship provides cloud-based software solutions for pack-and-ship stores and institutional mail operations, including mailbox rental management, shipping label creation, shipment tracking, prepaid shipping workflows, and related operational tools (the “Services”).
The Services are intended solely to facilitate lawful shipping activities and operations. Bullship may modify, suspend, or discontinue any aspect of the Services at any time, and features may evolve over time.
3. Eligibility and Lawful Use
To use the Services, you represent and warrant that you:
Are at least eighteen (18) years old and have legal capacity to enter into a binding contract;
Have authority to bind any entity you represent;
Will use the Services solely for legitimate, lawful purposes;
Will comply with all applicable laws and regulations, including shipping, customs, hazardous materials, export controls, and carrier-specific rules;
Have not had your access to Bullship permanently suspended or revoked.
If you use Bullship on behalf of an entity, “you” refers to both you and that entity.
4. Intermediary Role and Third-Party Carriers
Bullship acts solely as a software and technology intermediary. Bullship does not provide shipping, courier, transportation, or delivery services. All shipping services are provided by third-party carriers (including USPS, UPS, FedEx, and others), subject to their own terms and conditions.
Bullship does not control, endorse, or guarantee carrier services, pricing, delivery times, or performance. Any shipment created using the Services is subject to a separate agreement between you and the selected carrier.
Risk of loss and title to shipments pass to you upon tender to the carrier. You are solely responsible for filing claims with carriers for lost, delayed, or damaged shipments.
You are responsible for reviewing, understanding, and complying with all carrier terms, including prohibited items, hazardous materials restrictions, and acceptance requirements. Certain carriers may require affirmative acceptance of their terms before label purchase.
If any shipment is delivered to Bullship by a carrier for any reason, including noncompliance, refusal, or undeliverability, Bullship may take any action permitted by applicable law, including disposal or destruction, without liability.
5. Account Registration and Security
Certain features require account registration. You agree to:
Provide accurate and complete information;
Maintain the confidentiality of your login credentials;
Be responsible for all activity under your account.
Bullship is not responsible for unauthorized access caused by your failure to safeguard credentials. You must notify Bullship promptly of suspected security breaches.
6. Fees, Payments, and Additional Charges
Paid features may require payment. By using paid Services, you authorize Bullship to charge your designated payment method.
You are responsible for:
All charges incurred through your use of the Services;
Carrier adjustments due to incorrect weights, dimensions, classifications, or delivery details;
Taxes, duties, customs fees, or similar charges.
If payments are declined, reversed, or disputed, you agree to reimburse Bullship for associated fees and reasonable collection costs.
6A. Prepaid Wallet Terms
This section governs prepaid wallet functionality offered through the Services.
Definitions
“Wallet” means a prepaid balance account established with Bullship to fund shipping labels and related Services.
“Prepaid Balance” means funds paid in advance and held in the Wallet.
“Label Charges” means charges incurred for shipping labels, postage, carrier services, and applicable fees.
Funding and Authorization
You may be required to pre-fund a Wallet (for example, an initial amount of $5,000).
You authorize Bullship to automatically deduct Label Charges and related fees from the Wallet at the time of each transaction.
Wallet balances do not earn interest and have no cash value outside the Services.
Sufficient Balance Requirement
You are responsible for maintaining a sufficient Prepaid Balance at all times.
Bullship may refuse, suspend, or delay label creation if the Wallet balance is insufficient.
Refunds and Adjustments
Wallet funds are generally non-refundable, except as required by law or expressly agreed in writing.
Carrier refunds or adjustments, if any, will be credited back to the Wallet rather than paid in cash.
Setoff and Application of Funds
Bullship may apply Wallet balances to any outstanding amounts owed under these Terms or any related agreement.
Nature of Wallet Funds
Wallet balances are not held in trust, escrow, or a custodial account and do not constitute a bank deposit or stored-value account.
Suspension or Termination
Bullship may suspend or terminate Wallet access for violations of these Terms, misuse of the Services, or unlawful activity.
Upon termination, Bullship may return any remaining Prepaid Balance, less outstanding charges or adjustments, at its discretion.
Records
Bullship’s transaction records, logs, and system data shall be deemed accurate and authoritative unless proven otherwise.
7. Prohibited Conduct
You agree not to:
Use the Services for unlawful, fraudulent, or deceptive purposes;
Ship prohibited or restricted items;
Reverse-engineer, scrape, copy, or exploit the Services or data;
Use bots or automated tools without written permission;
Interfere with security or system functionality.
Violations may result in immediate suspension or termination.
8. Intellectual Property
All software, content, trademarks, and designs related to Bullship are owned by or licensed to Bullship.
You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended business purpose. No ownership rights are transferred.
9. Termination
You may terminate your account at any time by contacting support.
Bullship may suspend or terminate access at any time, with or without notice, if Bullship believes you violated these Terms, misused the Services, or engaged in unlawful conduct.
Termination does not relieve you of payment obligations or liabilities incurred prior to termination.
10. Disclaimers
The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, Bullship disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Bullship does not guarantee uninterrupted operation, error-free performance, or carrier availability.
11. Limitation of Liability
To the fullest extent permitted by law:
Bullship is not liable for shipping delays, lost packages, damaged goods, or carrier errors;
Bullship is not liable for indirect, incidental, consequential, or punitive damages;
For Wallet-related claims, Bullship’s liability shall not exceed the remaining Wallet balance at the time of the event giving rise to the claim;
For all other claims, liability shall not exceed the lesser of $100 or the amount paid to Bullship in the preceding twelve (12) months.
Some jurisdictions do not allow certain limitations, so these limitations may not fully apply.
12. Indemnification
You agree to indemnify and hold harmless Bullship, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:
Your use of the Services;
Your violation of these Terms;
Your shipments or interactions with carriers;
Your violation of any law or third-party rights.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles.
14. Changes to Terms
Bullship may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
